Vancouver, B.C., April 12, 2016: American Potash Corp. (the “Company”)(AMP:CSE) has closed its previously announced non-brokered private placement (see news release dated March 14, 2016)

The oversubscribed private placement consisted of the issuance of 7,520,000 units at a price of $0.05 per unit for gross proceeds of $376,000. Each unit consists of one common share of the company and one common share purchase warrant. Each warrant entitles the holder to purchase one additional common share of the company until April 12, 2020 with an exercise price of $0.10 for the first two years, and exercise price of $0.15 for the third year and $0.20 for the fourth year.

The securities issued under the private placement are subject to a hold period expiring on August 13, 2016.

The proceeds of this private placement are for the Company’s general working capital.

All securities issued in connection with the offering will be subject to a statutory hold period of four months plus a day from the date of issuance in accordance with applicable securities law. The offering is subject to a number of conditions, including receipt of all necessary corporate and regulatory approvals, including approval of the Canadian Securities Exchange.

In connection with the closing of the private placement, the company paid certain finder’s fees: 304,500 purchase warrants and $17,325 in Finder’s fee. Each finder’s warrant entitles the holder to purchase one additional common share of the company until April 12, 2020 with an exercise price of $0.10 for the first two years, and exercise price of $0.15 for the third year and $0.20 for the fourth year.
